USER AGREEMENT

BEFORE GAINING ACCESS TO COYLE HOSPITALITY GROUP'S (“CHG’s”) ON-LINE REVIEWER REGISTRATION AND SCHEDULING WEBSITE, YOU MUST READ AND AGREE TO THE FOLLOWING TERMS AND CONDITIONS OF WEBSITE USE.
This Agreement describes the terms and conditions applicable to your use of CHG's on-line registration and scheduling services and the general principles for CHG's website. If you do not agree to be bound by the terms and conditions of this Agreement, do not use or access CHG's on-line registration and scheduling services.

Proprietary Information
CHG's website and the on-line registration and scheduling services contain proprietary business information and data which is the sole and exclusive property of CHG. Any unauthorized use of the data and/or information shall subject you to liability under the laws of the State of New York for unlawful use of such proprietary data and/or information and will result in liability to the full extent allowed under law.

Use of the Website
No portion of the information on this website may be reproduced in any form or by any means without the prior written permission from CHG. Except as otherwise indicated elsewhere on this site, you may view, copy, and print data and information available on this website subject to the following terms and conditions: (a) the document may be used solely for personal, informational, non-commercial purposes; (b) the document may not be modified or altered in any way; (c) any copy of the document or portion thereof must include the following notice: "© 2002 Coyle Hospitality Group; No portion of this document may be reproduced or distributed in any form or by any means without the express prior written permission of Hospitality Services, Inc. dba Coyle Hospitality Group"; and (d) CHG reserves the right to revoke such authorization at any time, and any such use thereafter shall be discontinued immediately upon notice from CHG.

InnsQore, ResQore, BarsQore CHG are trademarks of CHG in the U.S. These trademarked terms above must be identified as trademarks of CHG using the appropriate symbol ™ at the first occurrence in the text of any published communications, printed or electronic, including advertising, promotions, packaging, technical documentation, sales and marketing collateral, and product labels.

Amendment and Notification
CHG may amend this Agreement at any time by posting the amended terms on its site. Except as stated below, all amended terms shall automatically be effective 30 days after they are initially posted on the CHG site. This Agreement may not be otherwise amended except in a writing signed by you and CHG.

Eligibility
CHG's on-line registration and scheduling services are available only to individuals who can form legally binding contracts under applicable law.

Access and Interference
You agree that you will not copy CHG’s web pages or the content contained therein without CHG's prior express written permission. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the CHG site or any activities conducted on our site.

Breach
Without limiting other remedies, CHG may immediately suspend or terminate your access to the CHG on-line registration and scheduling services and refuse to provide its services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) CHG is unable to verify or authenticate any information you provide to CHG; or (c) CHG believes that your actions may cause financial loss or legal liability to you, CHG’s users or CHG.

Privacy
CHG does not sell or rent your personal information to third parties for marketing purposes without your consent and only uses your information as described in the Privacy Policy. We view protection of users' privacy as a very important community principle. We understand clearly that your information is one of our most important assets. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. CHG's current Privacy Policy is available at www.coylehospitality.com/terms.html. If you object to your information being transferred or used in this way please do not use our services.

Warranties and Disclaimers
EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN AN AGREEMENT BETWEEN YOU AND CHG, ALL INFORMATION AND SOFTWARE ON THIS WEB SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CHG ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS IN THE INFORMATION OR SOFTWARE OR OTHER DOCUMENTS WHICH ARE REFERENCED BY OR LINKED TO THIS WEB SITE. REFERENCES TO CORPORATIONS, THEIR SERVICES AND PRODUCTS, ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. IN NO EVENT SHALL CHG BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF DAMAGE, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THIS INFORMATION. THIS WEB SITE COULD INCLUDE TECHNICAL OR OTHER INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN; THESE CHANGES WILL BE INCORPORATED IN NEW EDITIONS OF THIS WEB SITE. CHG MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE PRODUCT(S) AND/OR THE PROGRAM(S) DESCRIBED IN THIS WEB SITE AT ANY TIME.

Indemnity
You agree to indemnify and hold CHG and (as applicable) its parent, subsidiaries, affiliates, officers, directors, agents, employees, and clients harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

No Agency
You and CHG are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Governing Law
This Agreement shall be governed in all respects by the laws of the State of New York as such laws are applied to agreements entered into and to be performed entirely within New York between New York residents. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all incorporated agreements may be automatically assigned by CHG, in its sole discretion, to a third party in the event of a merger or acquisition. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. CHG's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
